Terms of Service

1. Acceptance of Terms
By accessing or using Provavio ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you are using the Service on behalf of an organisation, you represent that you have authority to bind that organisation to these Terms.
If you do not agree to these Terms, do not use the Service.
2. Description of Service
Provavio is a Microsoft 365 IT automation platform that enables organisations to automate employee onboarding and offboarding, manage access requests, configure self-service catalogs, and manage Microsoft Entra ID resources via the Microsoft Graph API.
3. Account Registration
- You must authenticate using a valid Microsoft 365 account with appropriate tenant permissions.
- You are responsible for maintaining the confidentiality of your account.
- You must immediately notify us of any unauthorised use of your account at hello@provavio.com.
- You must provide accurate information when registering your organisation's tenant.
4. Acceptable Use
You agree not to:
- Use the Service for any unlawful purpose or in violation of applicable law
- Attempt to gain unauthorised access to other tenants or accounts
- Reverse engineer, decompile or disassemble any part of the Service
- Use the Service to process data of individuals without a lawful basis under GDPR
- Resell, sublicence or white-label the Service without prior written agreement
- Use automated scripts or bots to interact with the Service beyond normal use
- Introduce malicious code, viruses or other harmful material
5. Microsoft Integration
The Service connects to your Microsoft 365 tenant via the Microsoft Graph API using OAuth 2.0. By connecting your tenant you acknowledge that:
- You are granting Provavio permission to act within the scopes you consent to in Azure
- You can revoke these permissions at any time via the Azure Portal
- Provavio does not store your Microsoft account passwords
- Microsoft's own terms and privacy policies apply to data processed through their services
6. Data & Privacy
Our collection and use of personal data is governed by our Privacy Policy, which is incorporated into these Terms by reference.
For customers processing employee personal data through the Service, a Data Processing Agreement (DPA) in accordance with GDPR Article 28 is available on request at hello@provavio.com.
7. Service Availability
We aim for high availability but do not guarantee uninterrupted access to the Service. We may:
- Perform scheduled maintenance (we will aim to notify users in advance)
- Temporarily suspend the Service for emergency security or technical reasons
- Modify or discontinue features with reasonable notice
The Service depends on Microsoft Graph API availability. Disruptions to Microsoft services are outside our control.
8. Fees & Payment
Certain features of the Service require a paid subscription. Pricing is displayed on our pricing page.
- Identity platform fees are charged per active employee per month; helpdesk fees per IT agent per month
- A minimum monthly fee of €149 applies as displayed on the pricing page
- New organisations receive a 14-day trial with full access to all modules
- Invoices are due within 14 days of issuance
- Prices are exclusive of VAT unless stated otherwise
- We reserve the right to change prices with 30 days' notice
9. Intellectual Property
The Service, including its design, code, trademarks and content, is owned by Provavio and protected by intellectual property law. These Terms do not grant you any rights to our intellectual property except the limited right to use the Service as described herein.
Your organisation's data remains your property. We claim no ownership over data you upload or generate through the Service.
10. Limitation of Liability
To the maximum extent permitted by Dutch law, Provavio shall not be liable for:
- Indirect, incidental, special or consequential damages
- Loss of data, revenue or business resulting from use of the Service
- Damages arising from third-party services (Microsoft, Vercel, etc.)
- Damages exceeding the total fees paid by you in the three months preceding the claim
Nothing in these Terms limits our liability for fraud, death or personal injury caused by negligence, or any other liability that cannot be excluded under applicable law.
11. Indemnification
You agree to indemnify and hold Provavio harmless from any claims, losses or expenses (including reasonable legal fees) arising from your violation of these Terms, your use of the Service, or your infringement of any third-party rights.
12. Termination
Either party may terminate the agreement at any time. Upon termination:
- Your access to the Service will be disabled
- Your data will be retained for 90 days to allow export, then permanently deleted
- Outstanding invoices remain due and payable
We may suspend or terminate your account immediately if you breach these Terms or if continued access poses a security risk.
13. Changes to Terms
We may update these Terms from time to time. We will notify registered users by email at least 14 days before material changes take effect. Continued use of the Service after the effective date constitutes acceptance of the updated Terms.
14. Governing Law & Disputes
These Terms are governed by the laws of the Netherlands. Any disputes arising from these Terms or the use of the Service shall be submitted to the exclusive jurisdiction of the competent court in the Netherlands.
